ADDENDUM: CROPTIX AUTHORIZED PROVIDER SERVICE TERMS

Effective Date: March 23, 2026

Governing Agreement: This Addendum ("Addendum") is an extension of the Croptix Terms of Service found at www.croptix.ag/tos ("Base ToS"). All definitions and provisions of the Base ToS are incorporated herein by reference. In the event of a conflict between the Base ToS and this Addendum, this Addendum shall govern the Croptix Authorized Service Provider program.

SECTION 1: THE SERVICE MODEL

1.1 ASP Service Model. This Addendum governs the subscription for Croptix nutrient analysis. Under this model, the Customer utilizes an Authorized Service Provider (ASP) to physically process leaf samples and transmit data to the Croptix Cloud from a designated ASP Service Location.

1.2 Definition of Unique Field Area (UFA). A UFA is defined as a discrete, contiguous agricultural unit (e.g., field, block, or center-pivot circle) dedicated to a single crop variety for which a single nutritional management program is applied.

1.3 Hardware Title & Custody. The Customer acknowledges that this service level does not include the possession, or right of use of Croptix hardware by the Customer.

SECTION 2: SUBSCRIPTION FEES & FINANCIAL TERMS

2.1 Annual UFA Subscription. The service is billed as an annual subscription of $320.00 per UFA.

2.2 Capacity & Caps. Each UFA subscription entitles the Customer to a maximum of twenty-six (26) analytical reports during the annual subscription period.

2.3 Selling Entity & Merchant of Record. Subscriptions may be purchased directly from Croptix or through an Authorized Croptix Distributor. The entity from which the Customer purchases the Subscription is the "Selling Entity." All invoicing, payment terms, and transaction fees are governed by the Selling Entity.

2.4 Transaction Fees. All listed prices are for cash-equivalent payments. Customer agrees to pay third-party processing fees (e.g., credit card surcharges) as determined and billed by the Selling Entity.

SECTION 3: LEAF SAMPLE COLLECTION & INTEGRITY

3.1 Collection Responsibility. All leaf samples must be collected and handled in strict accordance with the Croptix Sampling Guide.

3.2 Flexible Service Options.

• Self-Service: Customer collects leaf samples and delivers them to the ASP Service Location at Customer's expense.

• Turnkey Service: If the ASP performs on-site field collection of leaf samples, any associated labor, travel, or convenience fees are a private matter between the Customer and the ASP and are billed independently of this $320.00 subscription.

3.3 Transit Risk & Biological Degradation. Customer assumes all risk of leaf sample degradation during transit to the ASP Service Location. Croptix disclaims all liability for inaccurate reports resulting from improper collection, heat stress, or contamination prior to the scan.

3.4 Sample Rejection. The ASP reserves the right to reject leaf samples that are visibly degraded, contaminated, or improperly labeled. The subscription fee remains non-refundable once a sample has been submitted for analysis.

SECTION 4: DATA DELIVERY & USAGE

4.1 Report Turnaround Target. Croptix aims to deliver analytical reports via the Croptix Cloud typically within twenty-four (24) hours or one business day of a successful data upload from the ASP Service Location. This is a target and not a guaranteed deadline.

4.2 Strategic Data Sharing. Customer expressly consents to Croptix sharing Resulting Data with the designated ASP to facilitate integrated agronomic consulting and nutritional recommendations.

4.3 Anonymized Usage & Benchmarking. Customer grants Croptix a perpetual, worldwide, royalty-free license to use UFA data in an anonymized and de-identified format for the purpose of algorithm improvement and regional benchmarking.

SECTION 5: LEGAL PROTECTIONS & LIABILITY

5.1 Independent Contractor Status. ASPs are independent business entities and are not employees, partners, or legal agents of Croptix. Croptix is not liable for the physical conduct, safety practices, or service omissions of the ASP during field collection or sample transport.

5.2 Non-Refundability. Annual subscription fees are a fixed commitment. No pro-rata refunds will be issued for early termination or unused sampling capacity.

5.3 Limitation of Liability. To the maximum extent permitted by law, Croptix’s total aggregate liability for any claim related to this service shall not exceed the amount actually paid by the Customer to the Selling Entity for the specific UFA subscription giving rise to the claim.
